11.4 PRODUCT USE AND SUITABILITY

IMPORTANT:

Our Products Are Intended For:

  • Septic systems with biological treatment needs
  • Systems experiencing clogging, odors, or slow drainage
  • Preventative maintenance of healthy systems
  • Residential, commercial, and RV septic systems

Our Products Are NOT Intended For:

  • Municipal sewer systems (not applicable)
  • Fixing physical damage (broken pipes, cracked tanks, structural issues)
  • Repairing root damage to leach fields
  • Sealing leaking septic tanks
  • Removing debris, grease, or foreign objects
  • Replacing physically collapsed or structurally failed systems (our products treat biological failures, not structural failures)
  • Systems with mechanical failures (pumps, alarms, control panels)

Consult a Professional If:

  • Your septic tank has structural damage (cracks, leaks, collapsed walls)
  • Tree roots have infiltrated your leach field
  • Your leach field has physical damage or compaction
  • You have mechanical or electrical failures
  • Local regulations require professional intervention
  • Our products do not resolve your issue after proper treatment

11.6 CRITICAL SAFETY WARNING

DANGER: DO NOT ENTER SEPTIC TANKS

ENTERING A SEPTIC TANK IS EXTREMELY DANGEROUS AND CAN CAUSE SERIOUS INJURY OR DEATH.

Septic Tank Hazards:

  • Toxic gases (hydrogen sulfide, methane, carbon dioxide) can cause unconsciousness and death within seconds
  • Oxygen deficiency (lack of breathable air) can cause asphyxiation
  • Drowning risk (falling into liquid contents)
  • Structural collapse (tank walls or lid may collapse)
  • Disease exposure (harmful bacteria, viruses, parasites)

YOU MUST NEVER:

  • Enter a septic tank for any reason
  • Put your head or upper body into the tank manhole
  • Lean directly over an open septic tank manhole
  • Allow children or pets near open septic tanks
  • Attempt septic tank repairs yourself without professional training
  • Work inside septic tanks without proper confined space equipment

IF ADDING PRODUCTS DIRECTLY INTO THE SEPTIC TANK:

Some Bio-Sol products may be added directly into the septic tank for faster results. If you choose to open your septic tank manhole to add products:

Recommended Safety Equipment:

  • Work gloves (chemical-resistant)
  • Safety glasses or face shield
  • Respirator or dust mask (to reduce gas exposure)
  • Long-handled funnel or pouring tool (to maintain distance)
  • Have another person nearby (never work alone near open septic tanks)

Safety Precautions:

  • Open the manhole lid and IMMEDIATELY step back - do not lean over the manhole
  • Allow the tank to ventilate for several minutes before approaching
  • Stand upwind of the manhole to avoid toxic gas exposure
  • Never put your head or upper body over the tank manhole
  • Pour products from a safe distance (use a funnel or pour from arm's length)
  • Keep children and pets away from the area
  • Replace the manhole lid immediately after adding products
  • If you feel dizzy, nauseous, or smell strong odors, move away immediately and seek fresh air
  • Wash hands thoroughly after handling products and touching the manhole area

Alternative (Safest Method):

  • Pour products down your toilet or drain - they will reach the septic tank safely
  • This method eliminates all risks associated with opening the tank

FOR REPAIRS, INSPECTIONS, OR ANY WORK REQUIRING TANK ENTRY:

  • ALWAYS hire licensed septic professionals with proper safety equipment
  • Professionals have confined space entry training, gas monitors, ventilation equipment, and rescue systems
  • NEVER attempt entry yourself, even in an emergency

WE ARE NOT RESPONSIBLE FOR:

  • Injuries or death resulting from septic tank entry or improper handling
  • Failure to follow safety precautions
  • Ignoring professional safety recommendations
  • Attempting septic work without proper training or equipment

IF YOU IGNORE THESE WARNINGS, YOU DO SO AT YOUR OWN RISK.

Emergency: If someone has entered a septic tank and is in distress, DO NOT attempt rescue yourself. Call 911 immediately.

11.5 SUCCESS RATE DISCLAIMER

80% SUCCESS RATE:

Our shock treatments successfully fix septic system problems in the majority of cases, helping customers avoid costly system replacement. Based on customer follow-ups, we estimate the success rate internally at approximately 80% (4 out of 5 customers).

When Shock Treatments Work:

  • Clogged leach field from biomat buildup
  • Slow drainage or sewage backups
  • Odors from system overload
  • System stress from high usage
  • Biological imbalance in septic tank
  • Systems that haven't been pumped regularly

When Shock Treatments May NOT Work (approximately 20% Failure Rate):

  • Physical damage (broken pipes, cracked tank)
  • Roots blocking or damaging leach field
  • Crushed or perforated pipes
  • Collapsed leach field
  • Improper system design or installation
  • Soil conditions unsuitable for septic systems
  • Water table too high (saturated soil)
  • System severely undersized for property use

WE CANNOT GUARANTEE RESULTS:

Treatment success depends on many factors, including:

  • Your septic system's unique conditions (age, design, soil type, water table)
  • Physical damage and environmental factors beyond our control
  • Following our recommendations - Results require proper product application and following ALL our instructions
  • Pumping your septic tank - If we recommend pumping your tank before treatment, you MUST do it. In some cases, contamination is too strong, or there is excessive accumulation of hard-to-decompose or inorganic materials that must be removed before biological treatment can be effective
  • Changing harmful behaviors - If we recommend reducing water consumption, switching to septic-safe products, or modifying household habits, you MUST make these changes for treatment to work
  • Products that harm or kill bacteria:
    • Strong household cleaners (bleach, antibacterial cleaners, disinfectants)
    • Harsh chemicals that kill beneficial bacteria
    • Excessive use of laundry detergents or fabric softeners
  • Products that don't decompose properly and create physical problems:
    • Thick toilet paper that doesn't break down
    • Grease, oils, or fats poured down drains
    • Non-biodegradable materials (wipes, sanitary products, paper towels)
    • Coffee grounds, eggshells, and other solid waste
  • Water usage - Excessive water use can overwhelm the system and wash out beneficial bacteria
  • Continued harmful practices - Our products cannot overcome ongoing damage caused by improper use

Important: Our products work through biological processes that require specific conditions to be effective. Bacteria have limitations and cannot overcome ongoing harmful practices. If you continue practices that harm bacteria or overload your system, treatment effectiveness will be reduced or eliminated.

We offer 30-day returns on unopened products (see Return Policy). If you've opened and used the product but didn't follow our recommendations or continued harmful practices, we cannot guarantee results.

Our Commitment:

  • We provide consultations to assess suitability before purchase based on the information you provide
  • We make recommendations to the best of our knowledge based on available data. If we believe our products may have a positive effect, we will recommend treatment
  • Septic system diagnosis involves analyzing symptoms and making assessments based on available information. Physical or structural issues may not be apparent from surface symptoms alone and may only be discovered during or after treatment
  • We may recommend professional inspection in certain situations
  • We offer guidance on proper product use
  • We offer a fair return policy on unopened products to ensure customer satisfaction

  • We will investigate and send the missing product or issue a refund for the missing item only

IMPORTANT: Frozen Products (Winter Shipping):

How Freezing Affects Our Products:

Solid Products (Septi +, SeptiMax):

  • Freezing does NOT damage these products
  • Can freeze and thaw without losing effectiveness
  • Safe to use after thawing

Liquid Products:

  • Freezing may reduce product effectiveness
  • Product must be FULLY FROZEN (solid ice) to be affected
  • Cold temperatures alone do NOT damage the product
  • Slight surface freezing or partial freezing does NOT make the product unusable
  • Only severe, complete freezing impacts effectiveness

Who Is Responsible:

Carrier's Fault (Frozen During Shipping):

  • If product freezes while in carrier's possession during shipping, we will replace it at no cost to you
  • Contact us immediately upon receiving frozen liquid product
  • We will arrange free replacement

Customer's Fault (Left Outside After Delivery):

  • If you leave the product outside in freezing temperatures after delivery (overnight, unattended on porch, etc.), this is your responsibility
  • We cannot replace products damaged due to improper storage after delivery
  • Bring packages inside immediately upon delivery in winter months

Winter Shipping Recommendations:

  • Track your shipment and bring package inside immediately upon delivery
  • Do not leave packages outside in freezing temperatures
  • If concerned about freezing during shipping, contact us to discuss timing or alternative arrangements

IMPORTANT: Split Shipments:

Your order may be shipped in multiple packages that arrive at different times:

Why Orders Are Split:

  • Heavy items (20L pails) are processed as "heavy objects" by carriers and shipped separately
  • Smaller items (Septi Plus packets) ship as regular parcels
  • We may use different carriers for different items (Canada Post, Shiptime, or other carriers)
  • This ensures each item is handled appropriately for its size and weight

What This Means:

  • You may receive multiple tracking numbers for one order
  • Packages may arrive on different days (sometimes several days apart)
  • Different carriers may deliver different parts of your order
  • Before contacting us about a "missing" item, please check all tracking numbers and wait for all packages to arrive

Check Your Order Confirmation:

  • Your order confirmation email lists all items ordered
  • You'll receive separate shipping notifications for each package with individual tracking numbers
  • If you're unsure, contact us at 1-800-378-6132 to confirm your shipment status

14.2 HOW TO RETURN

Return Process:

Step 1: Contact Us

  • Phone: 1-800-378-6132
  • Email: [email protected]
  • Provide: Order number, reason for return

Step 2: Choose Return Shipping Method

Option 1: We Handle Return Shipping (Recommended - Most Customers Prefer This):

  • We'll email you a return shipping label to print (billed to our account)
  • Simply print the label, attach it to the package, and drop it off at the carrier (Canada Post or Shiptime)
  • Return shipping cost will be deducted from your refund (based on items returned)
  • Cost varies depending on full or partial return
  • Includes tracking automatically

Option 2: You Handle Return Shipping:

  • You can arrange and pay for return shipping yourself if you prefer
  • Ship to: 78 Authier Street East, St-Alphonse-de-Granby, Quebec J0E 2A0
  • Use tracked shipping for proof of return
  • You'll receive full refund for returned items (no deduction for shipping costs since you paid directly)

Step 3: Ship Product Back

  • Ship in original packaging
  • Include order number or copy of receipt
  • Product must arrive in good condition

Step 4: Refund Processed

  • Within 5-10 business days of receiving returned product
  • Refund issued to original payment method
  • You'll receive email confirmation

14.3 RETURN SHIPPING COSTS

Who Pays Return Shipping:

Customer's Responsibility (Standard Returns):

  • You changed your mind
  • You ordered wrong product
  • You no longer need product

How Return Shipping Is Handled:

  • Option 1 (Most Common): We send you a return shipping label (billed to our account). Return shipping cost is deducted from your refund for returned items (amount varies based on full or partial return)
  • Option 2: You arrange and pay for return shipping yourself (full refund for returned items, no shipping deduction)

Bio-Sol's Responsibility (No Cost to You):

  • Product damaged during shipping
  • Wrong product sent (we shipped item A instead of item B that you ordered)
  • Wrong quantity sent (we shipped 2 bottles instead of 4 that you ordered)
  • Manufacturing defect (leaking container, missing/incorrect contents, contaminated product, quality control issue)
  • Billing error (we charged incorrect amount)
  • We cover return shipping or send prepaid label

Note: Manufacturing defect refers to product quality issues (physical damage, container integrity, contents accuracy). Treatment effectiveness is a separate matter that depends on your unique system conditions and proper product application (see Success Rate and Usage sections for details). Our standard return policy applies to unopened products within 30 days.

We Recommend:

  • Use tracked shipping (proof of delivery)
  • Insure high-value packages
  • Keep tracking number until refund received

14.4 REFUNDS

Refund Amount:

  • Product cost (full purchase price)
  • Minus return shipping cost (if you're responsible - see above)
  • Original shipping cost NOT refunded (unless our error)

Refund Method:

  • Same method as original payment
  • Credit/debit card: Refund to original card

Rare But Possible:

If Product Is Defective:

  • Contact us immediately: 1-800-378-6132 or [email protected]
  • Describe the defect (photos helpful)
  • Provide order number and purchase date

We'll Determine:

  • Was it stored properly?

Resolution Options:

  • Full refund (return shipping covered by us)
  • Replacement product (shipped at no cost)
  • Store credit (if preferred)

Definition of "Defective":

  • Product does not match description on label (wrong product in bottle, incorrect formulation)
  • Product is contaminated or spoiled
  • Packaging is compromised resulting in product damage
  • Container is empty or significantly underfilled (minor weight variations are normal in manufacturing)

NOT Defective:

  • Treatment did not solve your septic problem (success rate is approximately 80% - see Section 11.5)
  • Product did not work due to system conditions, improper usage, or external factors
  • You used product incorrectly or did not follow our recommendations
  • Your septic system has physical damage requiring professional repair
  • External factors prevented treatment success (improper product storage, not following instructions, continued harmful practices, etc.)

14.7 30-DAY SATISFACTION GUARANTEE

Our Commitment:

If You're Not Satisfied:

  • Return unopened products within 30 days
  • Full refund of product cost (minus return shipping if applicable)
  • We may contact you to understand the situation and offer guidance (in case there's a simple solution we can help with), but returns are approved even if you prefer not to discuss

This Guarantee Does NOT Mean:

  • Guaranteed results (see 80% success rate - Section 11.5)
  • Opened products returnable
  • Returns accepted after 30 days
  • Refund if you didn't follow product instructions

We Encourage:

  • Consult with us before purchasing to ensure suitability
  • Read product instructions carefully
  • Follow usage guidelines
  • Contact us if you have questions during treatment

15.1 LEGAL WARRANTIES (CANNOT BE WAIVED)

Under Quebec and Canadian Consumer Protection Laws:

You Have Legal Rights That Cannot Be Waived:

  • Products must be fit for normal use
  • Products must match description
  • Products must be of acceptable quality
  • Products must be durable for reasonable period

These Legal Warranties Cannot Be Excluded (even if we wanted to).

If Product Is Defective:

  • You have right to repair, replacement, or refund
  • See Section 14 (Returns) for our process

15.2 30-DAY RETURN GUARANTEE

Our Voluntary Guarantee:

  • 30-day return period for unopened products in good condition (see Section 14)
  • Full refund of product cost (minus return shipping if applicable)
  • Our commitment to customer satisfaction
  • Above and beyond legal requirements

Please Note:

  • Treatment effectiveness depends on your unique system conditions (see Section 11.5 - 80% success rate)

15.3 NO ADDITIONAL WARRANTIES

Beyond Legal Warranties and Our 30-Day Return Policy:

WE DISCLAIM ALL OTHER WARRANTIES, INCLUDING:

  • Merchantability (product quality beyond legal minimum)
  • Fitness for particular purpose (suitability for your specific septic situation beyond general septic use)
  • Non-infringement (third-party intellectual property claims)
  • Warranties arising from course of dealing or usage (implied promises from past interactions)

In Plain English:

  • We make NO promises beyond what's required by law and our 30-day return policy
  • Products sold "as is" after 30-day period
  • No guarantees of specific results

15.4 NO WARRANTY OF RESULTS

UNDERSTANDING TREATMENT EFFECTIVENESS:

Our Products' Track Record:

  • Approximately 80% success rate in fixing septic system problems (majority of cases)
  • Effective biological wastewater treatments for over 30 years
  • Help customers avoid expensive system replacement
  • Products work as described when used correctly under appropriate conditions

Important Factors That Affect Results:

Treatment effectiveness depends on your unique situation:

  • System conditions (age, design, maintenance history)
  • Type of problem (biological clogging vs. physical damage)
  • Soil conditions and environmental factors
  • Proper product application and following our recommendations
  • User practices (avoiding harmful products, managing water usage)

What This Means for You:

While our products successfully help the majority of customers, we cannot guarantee specific results for your individual situation because:

  • Every septic system is unique with different conditions
  • Physical damage requires professional repair, not biological treatment
  • Some factors are beyond our control (soil type, water table, seasonal groundwater levels)

Our Commitment:

  • We provide consultations to assess your situation
  • We offer guidance on proper use
  • 30-day return policy on unopened products if not satisfied
  • We're here to support you throughout the process

IMPORTANT LEGAL DISCLAIMER - READ CAREFULLY

17.1 MAXIMUM LIABILITY

To the Fullest Extent Permitted By Law:

Our Total Liability to You Shall NOT Exceed:

  • The amount you paid for the product(s) that caused the issue
  • Maximum: $500 CAD (whichever is less)

Example:

  • You purchased $200 of products
  • Our maximum liability: $200 (not $500)

Example 2:

  • You purchased $1,000 of products
  • Our maximum liability: $500 (capped at $500)

This Limit Applies To:

  • Product defects or failures
  • Incorrect recommendations or advice
  • Website errors or downtime
  • AI tool errors
  • Any other claim or dispute

Note: This limit does NOT affect your legal rights under Quebec or Canadian consumer protection laws (which cannot be waived).

17.2 EXCLUDED DAMAGES

To the Fullest Extent Permitted By Law:

WE ARE NOT LIABLE FOR:

  • Indirect damages (e.g., lost time, inconvenience)
  • Consequential damages (e.g., damage to property, cost of repairs)
  • Incidental damages (e.g., cost of hiring professionals)
  • Punitive damages (penalties)
  • Special damages (unique losses)
  • Lost profits or income
  • Emotional distress

Even If:

  • We were advised of the possibility of such damages
  • Such damages were foreseeable
  • Treatment results did not meet your expectations

Examples of Excluded Damages:

Example 1: Septic System Replacement

  • You used our products
  • They didn't fix the problem
  • You hired professionals to replace system ($30,000 cost)
  • We are NOT liable for the $30,000 replacement cost
  • Maximum liability: amount you paid for our products (capped at $500)

  • Our products do NOT cause damage to septic systems (they're harmless bacteria)
  • Septic failures are due to existing problems, NOT our products
  • We are NOT liable for pre-existing conditions or damage

17.3 ALLOCATION OF RISK

Why These Limitations Exist:

Our Business Model:

  • We sell biological treatments at reasonable prices
  • Septic replacements cost $15,000-$50,000+
  • Without liability limits, we'd need to charge 10x more to cover insurance
  • These limits allow us to keep prices accessible for homeowners

You Accept the Risk:

  • By purchasing our products, you accept these limitations
  • You understand treatment results are not guaranteed
  • You understand we're NOT liable for septic system replacement costs
  • You understand our maximum liability is limited to the value of the product purchased (or $500 CAD, whichever is less)

If You Don't Accept:

  • Do NOT purchase our products
  • Hire professionals for guaranteed work (they carry insurance)
  • Understand professional services cost significantly more but may provide guarantees

17.4 CONSUMER PROTECTION LAWS

Important Clarification:

These Limitations Do NOT Affect:

  • Your legal rights under Quebec Consumer Protection Act
  • Your rights under Canadian consumer protection laws
  • Warranties that cannot be waived by law (see Section 15.1)

If There's a Conflict:

  • Consumer protection laws take precedence

25.1 CONTACT US FIRST

Before Taking Legal Action:

Step 1: Contact Us Directly

  • Most issues can be resolved through communication
  • Email: [email protected]
  • Phone: 1-800-378-6132
  • Mail: Bio-Sol, 78 Authier Street East, St-Alphonse-de-Granby, Quebec, Canada J0E 2A0

We Will:

  • Respond within 1-2 business days
  • Work in good faith to resolve your concern
  • Offer reasonable solutions

Give Us 30 Days:

  • Allow reasonable time to investigate and respond
  • Most disputes can be resolved informally

25.2 NEGOTIATION AND MEDIATION

If Direct Communication Doesn't Resolve the Issue:

Step 2: Good Faith Negotiation

  • We'll discuss the issue in detail
  • Explore mutually acceptable solutions
  • Document our efforts to resolve

Step 3: Mediation (Optional)

  • If negotiation fails, either party may propose mediation
  • Neutral third-party mediator helps facilitate resolution
  • Mediation is voluntary (both parties must agree)
  • Costs of mediation shared equally
  • Mediation location: Quebec (or virtual/online)

Mediation Organizations in Quebec:

  • Mediation services available through various providers
  • We'll cooperate in selecting a qualified mediator

Benefits of Mediation:

  • Faster and less expensive than litigation
  • Confidential process
  • Creative solutions possible
  • Preserves business relationships

25.3 ARBITRATION (OPTIONAL)

If Mediation Fails:

Binding Arbitration (By Mutual Agreement Only):

  • NOT mandatory (must be agreed to by both parties)
  • Alternative to court litigation
  • Final and binding decision by neutral arbitrator
  • Limited appeal rights

Arbitration Terms (If Agreed):

  • Governing Rules: Quebec arbitration laws
  • Location: Quebec, Canada (or virtual)
  • Language: English or French (your choice)
  • Costs: Each party pays own attorney fees; arbitrator fees shared equally
  • Decision: Final and binding, enforceable in court

We Do NOT Require Mandatory Arbitration:

  • You are NOT forced into arbitration
  • You have the right to go to court
  • Arbitration is an option, not a requirement

25.4 LITIGATION (COURT)

If All Else Fails:

You May File a Lawsuit:

  • In Quebec courts (see Section 26 - Jurisdiction)
  • Subject to Quebec and Canadian law
  • Standard court procedures apply

Small Claims Court (Quebec):

  • For claims up to $15,000 CAD
  • Simplified procedures
  • No lawyer required (but allowed)
  • Faster and less expensive than Superior Court

Superior Court (Quebec):

  • For claims over $15,000 CAD
  • Formal court procedures
  • Lawyer recommended

25.5 CLASS ACTION WAIVER (TO THE EXTENT PERMITTED BY LAW)

Important:

To the Fullest Extent Permitted by Law:

You Agree to Resolve Disputes Individually:

  • You may NOT bring claims as a class action
  • You may NOT join with other users in a class action against us
  • You may NOT participate as a class member in a class action against us

Individual Claims Only:

  • You may only bring claims in your individual capacity
  • You may NOT represent a class or group of users

Why This Matters:

  • Class actions are expensive and time-consuming
  • Individual resolution is faster and more efficient
  • Allows us to offer affordable products

Legal Limitations:

  • Class action waivers are controversial and may NOT be enforceable in Quebec
  • Quebec courts may allow class actions despite this waiver
  • This waiver is asserted to the fullest extent allowed by law
  • If unenforceable, this provision is severed (rest of Terms remain valid)

Your Rights:

  • You can still file individual lawsuits
  • You can still file complaints with regulators
  • You can still join with others outside of class actions (e.g., multiple individual claims)

25.6 TIME LIMIT FOR CLAIMS

CRITICAL: TIME LIMITS APPLY

Statute of Limitations:

Under Quebec Law:

  • General Claims: 3 years from when you knew or should have known of the issue
  • Consumer Claims: May have longer periods (see Quebec Consumer Protection Act)
  • Contract Claims: 3 years (Quebec Civil Code)

For Product Issues:

  • File claims within 30 days of discovering issue (our return policy)
  • Legal claims must be filed within 3 years

What This Means:

  • If you wait too long, your claim may be time-barred
  • "Too long" typically means 3 years, but can vary
  • Contact us promptly if you have an issue
  • Don't delay seeking resolution

We May Raise Statute of Limitations as Defense:

  • If you file a claim outside the time limit, we may argue it's too late
  • Courts may dismiss time-barred claims

25.7 NOTICE OF CLAIMS

Before Filing Legal Action:

You Must Provide Written Notice:

  • To: Bio-Sol, Attn: Legal Notices, 78 Authier Street East, St-Alphonse-de-Granby, Quebec, Canada J0E 2A0
  • By: Email ([email protected]) or certified mail
  • Include:
    • Your name and contact information
    • Description of the dispute
    • Specific relief you're seeking (what you want)
    • Factual basis for your claim

Give Us 30 Days to Respond:

  • We'll investigate and respond
  • May offer settlement or resolution
  • Allows opportunity to resolve without litigation

Failure to Provide Notice:

  • May result in dismissal of your claim (procedural defect)
  • Courts may require notice before allowing litigation

26.1 APPLICABLE LAW

These Terms Are Governed By:

  • Laws of the Province of Quebec
  • Laws of Canada (where applicable)

Specific Laws That Apply:

  • Quebec Civil Code
  • Quebec Consumer Protection Act (Loi sur la protection du consommateur)
  • Quebec Bill 25 / Law 25 (privacy)
  • Canadian Competition Act
  • PIPEDA (federal privacy law)
  • CASL (Canadian Anti-Spam Legislation)
  • Other applicable Quebec and Canadian laws

Conflicts of Law:

  • Quebec law applies regardless of where you're located
  • Conflicts of law principles do NOT apply (can't choose another jurisdiction's law)

26.2 JURISDICTION (WHERE LAWSUITS MUST BE FILED)

IMPORTANT: EXCLUSIVE JURISDICTION

You Agree That:

  • Any legal dispute arising from these Terms or our services
  • Must be resolved in the courts of Quebec, Canada
  • Specifically, the judicial district of Bedford (or the district where Bio-Sol is located)

This Means:

  • You may NOT sue us in courts outside Quebec
  • You consent to jurisdiction of Quebec courts
  • You waive objections to venue or jurisdiction in Quebec

Exceptions:

  • Small claims may be filed in your local small claims court (if Quebec law allows)
  • Injunctive relief (emergency orders) may be sought in any competent court
  • Intellectual property disputes may be filed where infringement occurs

Why Quebec:

  • Bio-Sol is a Quebec company
  • Subject to Quebec laws and regulations
  • Most convenient and fair forum for our business

If You're Located Outside Quebec:

  • You still agree to Quebec jurisdiction
  • You may need to travel to Quebec for court appearances
  • You may incur additional costs (travel, lodging)
  • You accept this as part of using our services

26.3 LANGUAGE OF PROCEEDINGS

Quebec Language Laws:

  • Court proceedings in Quebec may be conducted in French or English
  • You may choose your language preference
  • Documents may need to be translated

We Prefer:

  • English or French (both acceptable)
  • Bilingual proceedings if both parties agree

26.4 CONSUMER PROTECTION LAWS

Important Clarification:

Nothing in These Terms Affects:

  • Your rights under Quebec Consumer Protection Act
  • Your rights under other consumer protection laws
  • Mandatory protections that cannot be waived

If There's a Conflict:

  • Consumer protection laws take precedence
  • These Terms are limited to the extent they conflict with mandatory consumer protections
  • Courts will decide enforceability

Examples of Consumer Protections:

  • Unfair contract terms may be void
  • Excessive penalties may be reduced
  • Certain warranties cannot be disclaimed
  • Arbitration may not be enforceable for consumer disputes (Quebec law may require access to courts)

27.1 SEVERABILITY

If Any Provision Is Invalid:

What Happens:

  • Only that specific provision is invalid (not the entire Terms)
  • Rest of the Terms remain in full force and effect
  • Invalid provision replaced with valid provision achieving similar intent

Example:

  • If a court finds our class action waiver is unenforceable
  • ONLY that waiver is invalid
  • All other Terms (liability limits, warranties, dispute resolution, etc.) remain valid

Why This Matters:

  • One invalid provision doesn't invalidate entire agreement
  • Ensures maximum enforceability of Terms

27.2 WAIVER

No Waiver of Rights:

If We Don't Enforce a Provision:

  • It does NOT mean we waive our right to enforce it later
  • Does NOT mean we abandon that provision
  • Does NOT create a precedent

Example:

  • If we don't immediately terminate an account for violation
  • It doesn't mean we waive our right to terminate later
  • It doesn't mean we accept violations going forward

Waivers Must Be in Writing:

  • Any waiver of these Terms must be in writing, signed by Bio-Sol
  • Verbal waivers are NOT binding
  • Implied waivers do NOT exist

27.3 ASSIGNMENT

You May NOT Assign These Terms:

  • You may NOT transfer your rights or obligations under these Terms to another person or entity
  • Without our prior written consent

We May Assign These Terms:

  • We may assign these Terms to:
    • A parent company, subsidiary, or affiliate
    • A successor company (in merger, acquisition, or sale)
    • Any third party with or without notice

What This Means:

  • If Bio-Sol is sold, the new owner inherits these Terms
  • You cannot sell or transfer your account to someone else

27.4 FORCE MAJEURE

We Are NOT Responsible For Delays or Failures Due to Events Beyond Our Control:

Force Majeure Events:

  • Natural disasters (earthquake, flood, fire, hurricane, tornado)
  • War, terrorism, civil unrest
  • Government actions (laws, regulations, orders, strikes)
  • Pandemics or epidemics
  • Labor disputes or strikes
  • Supplier failures
  • Internet or telecommunications failures
  • Power outages
  • Acts of God

What Happens:

  • We're excused from performance during force majeure event
  • We'll resume performance when reasonably possible
  • If force majeure lasts more than 90 days, either party may terminate affected orders

Examples:

  • If a flood closes our facility, we're not liable for delayed shipments
  • If government orders shutdown, we're not liable for inability to fulfill orders
  • If carrier goes on strike, we're not liable for shipping delays

27.5 ENTIRE AGREEMENT

These Terms and Privacy Policy Together Form the Complete Agreement:

This Agreement:

  • Supersedes all prior agreements, communications, or understandings
  • Cannot be modified except in writing by Bio-Sol (via updated Terms)
  • Integrated agreement (no verbal additions or changes)

What This Means:

  • Any prior promises or statements NOT in these Terms are NOT binding
  • Verbal agreements with staff are NOT binding unless confirmed in writing
  • Only the written Terms govern our relationship

Exceptions:

  • Separate written dealer agreements (if applicable)
  • Separate written consulting agreements (if applicable)
  • Specific product warranties (if provided in writing)

27.6 HEADINGS

Section Headings Are for Convenience Only:

  • Do NOT limit or define the content of sections
  • Do NOT affect interpretation of Terms
  • Used for navigation and readability

27.7 INTERPRETATION

Rules of Interpretation:

Plain Meaning:

  • Terms interpreted according to their plain, ordinary meaning
  • No special legal meanings unless context requires

No Construction Against Drafter:

  • If ambiguity exists, NOT automatically construed against Bio-Sol (as drafter)
  • Courts will interpret fairly based on intent and context

Gender and Number:

  • "He," "she," "it" used interchangeably (includes all genders)
  • Singular includes plural, and vice versa

"Including" Means "Including But Not Limited To":

  • Lists are illustrative, not exhaustive
  • Just because something isn't listed doesn't mean it's not covered

27.8 SURVIVAL

Provisions That Survive Termination:

Even After Your Account Is Terminated or These Terms End:

These Provisions Remain in Effect:

  • Intellectual Property Rights (Section 20)
  • Limitation of Liability (Section 17)
  • Indemnification (Section 18)
  • Warranties and Disclaimers (Sections 15-16)
  • Dispute Resolution (Section 25)
  • Governing Law (Section 26)
  • Any other provisions that by their nature should survive

Why This Matters:

  • You can't escape liability by terminating your account
  • Intellectual property protections remain permanent
  • Dispute resolution still applies to past disputes
